Konserniohje – Case: Alajärven kaupunki

Abstract

Opinnäytetyön toimeksiantaja oli Alajärven kaupunki. Tarkoituksena oli valmistella Alajärven kaupungille uusi konserniohje nykylainsäädännön mukaisesti. Nämä uudistetun kuntalain muutokset tulivat voimaan 1.6.2017 alkaen. Lakimuutos asetti omistajaohjaukselle sekä konserniohjeelle lakisääteisiä muutosvaatimuksia ja tavoitteita.

Opinnäytetyö koostuu kuudesta osasta; johdannosta, taustatiedoista, laeista, konserni- ja omistajaohjauksesta sekä yhteenvedosta. Konserniohjeen valmistelu perustui pitkälti lakien ja suositusten soveltamiseen.

Opinnäytetyön tiedonkeruumenetelmänä oli toimintatutkimus, johon haastateltiin konsernijohtoa ja tilintarkastajaa. Haastattelujen perusteella päädyttiin konsernio-hje valmistelemaan Kuntaliiton suosituksen pohjalta. Päätöksellä varmistettiin oh-jeistuksen lainmukaisuus. Kaupunginjohtajan päätöksellä ohjeistukseen lisättiin kohdat esteellisyydestä ja sidonnaisuuksista.

Kaupunginhallitus käsitteli uutta konserniohjetta joulukuussa 2018. Kaupunginhallitus päätti lähettää konserniohjeen lausuntopyynnöille tytäryhtiöiden yhtiökokouksille.

Thesis was commissioned by the city of Alajärvi. The purpose was to prepare a new consolidated corporate governancefor the city of Alajärvi in accordance with current legislation. These amendments to the revised Municipal Law was introduced on 1 June 2017. The amendment introduced statutory changes and objectives to corporate governance and consolidated corporate governance.The content of the thesis consists of six chapters: introduction, background information, laws, corporate governance, consolidated corporate governance and summary. The preparation of the consolidated corporate governance was largely based on the application of laws and recommendations.Thesis collection method of the thesis was an activity survey, which included interviews with Group management and the accountant. On the basis of the interviews, the consolidated corporate governancewas prepared based on the recommendation of the Association of Local and Regional Authorities. The decision ensured compliance with the law. Mayor's decision, points of disqualification and interests were included to the guidance. The city governmentdiscussed the new consolidated corporate governancein December 2018, and they decided to send the consolidated corporate governance to referrals to the General Meetings of the subsidiary corporations.
