Hangö hamn : framtiden som affärsverk eller aktiebolag

Abstract

Detta examensarbete har gjorts för att Hangö hamn vid årsskiftet 2010-2011 skall ombildas till affärsverk och i framtiden möjligen till aktiebolag. Syftet är att jämföra ett affärsverk med ett aktiebolag med tyngdpunkt på fem delområden i de olika bolagen. Målet är att komma fram till en rekommendation på alternativen för Hangö hamn.

Metoden som har använts i detta examensarbete är intervju. Jag har intervjuat Hangö hamns hamndirektör för att få så mycket information som möjligt om hamnens övergång från kommunal inrättning till kommunalt affärsverk och hans tankar om aktiebolag. Jag har även intervjuat Åbo hamns verkställande direktör för att få en bild av hur övergången från affärsverk till aktiebolag i verkligheten går till. Annan teori som tas upp i detta arbete är kommunallagen, aktiebolagslagen och bokföringslagen, samt material som Hangö hamns hamndirektör gett mig.

Resultatet är att det kommer att ske förändringar på vissa plan då hamnen fungerar som affärsverk, men att hamnen ändå kommer att vara kopplad till staden på vissa punkter. Förvaltningssystemet kommer t.ex. att förändras då hamnen blir ett affärsverk. Sett ur Hangö stads synvinkel kommer pengaflödet att förändras då hamnen blir ett affärsverk. De största skillnaderna som jag upptäckte mellan ett affärsverk och ett aktiebolag är att ett affärsverk grundas av kommunen medan ett aktiebolag bildas självständigt, samt att affärsverket styrs av en direktion medan ett aktiebolag har en bolagsordning som det följer.Som aktiebolag kommer det att ske mycket större förändringar, därför blir min rekommendation till Hangö hamn att först övergå till affärsverk och i framtiden övergå till aktiebolag.

This thesis has been written because the Port of Hanko is, at the turn of 2010-2011, proceeding as a municipal corporation and in the future possibly as a joint-stock company. The aim is to compare a municipal corporation with a joint-stock company with a focus on five different areas in the companies. The aim is also to come up with a recommendation for the Port of Hanko; which of the options they should choose. The method that is used is interviews. I have interviewed the director of Port of Hanko in order to get as much information as possible about the transition to a municipal corporation and their thoughts about being a joint-stock company in the future. I have also interviewed Turku port Executive Director to get an idea of how the transition from a municipal corporation to a joint-stock company is working, which I used as theory in the thesis. Another theory that I have used is the Local Government act, the joint-stock company act and the accounting act, as well as material the port director has given me. My conclusion is that there will be changes at some level when the port is transitioned into a municipal corporation, but that the port still will be connected to the town on some points. The management system will change. From Hanko town’s point of view, the cash flow will change when the port is transitioned into a municipal corporation. The biggest differences I noticed between a municipal corporation and a joint-stock company is that the municipal corporation is founded by the city and the joint-stock company is founded individually, and that the municipal corporation is governed by a board while a joint-stock company is governed by Articles of Incorporation. As a joint-stock company there will be a lot more changes. That is the reason for my recommendation that Port of Hanko to first turn into a municipal corporation and in the future to transition to a joint-stock company.
