When an entrepreneur wants to start a business in Finland, one of the most important first decisions is choosing the right company structure. The decision effects taxation, liability, financing, and everyday management. For immigrants, this choice can be even more difficult because of language barriers and unfamiliar laws.
The purpose of this thesis is to compare the most common Finnish company forms and find out which one is the most suitable for immigrant entrepreneurs.
The theoretical part explains the main company types in Finland: sole proprietorship, limited liability company, general partnership, limited partnership, and cooperative. It also describes Finnish legal and taxation systems related to business formation.
The empirical part is based on interviews with five companies: Feenix Services Oy, Saisiivous palvelut Oy, Tmi Bird Enterprise, Tmi Sana Ullah Waqas, and Junbah Logistics Ay. Their answers show what kind of challenges immigrants face and which business form they prefer.
The findings show that the sole proprietorship is the most suitable company form for most immigrants starting small scale businesses in Finland. It is simple to register, inexpensive to maintain, and offers full control to the owner. However, it also means personal responsibility for debts.
The thesis concludes that sole proprietorship is the best choice for immigrant entrepreneurs who want to start quickly with low cost and simple administration.
